These Terms of Service ("Terms") govern your access to and use of HostedVICIdial.com ("we," "us," or "our") and the hosted VICIdial, installation, and support services we provide (the "Services"). By using our website or purchasing our Services, you agree to be bound by these Terms.
1. Service Description
HostedVICIdial.com provides managed hosting, installation, and support services for the open-source VICIdial call center platform. Our Services may include server provisioning, VICIdial installation and configuration, ongoing managed hosting, technical support, and related professional services as agreed in a service order or proposal.
We are not affiliated with The Vicidial Group. "VICIdial" is the trademark of its respective owner. We provide independent hosting and installation services for the open-source VICIdial software.
2. Account Responsibilities
You are responsible for maintaining the confidentiality of any login credentials provided, for the accuracy of information you provide, and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.
3. Acceptable Use
You agree to use our Services in compliance with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, Do Not Call rules, and any other laws governing outbound calling and data protection. You are solely responsible for the content of calls placed through systems we host or install.
You may not use our Services to send unsolicited communications in violation of law, engage in fraudulent activity, transmit malware, or interfere with the normal operation of our infrastructure.
4. Payment Terms
Fees for hosted services are billed monthly in advance unless otherwise agreed. Installation and professional services fees are billed as specified in the applicable proposal or order. Invoices are due upon receipt unless stated otherwise.
Late payments may result in service suspension. We reserve the right to change pricing with 30 days' notice for monthly services. All fees are exclusive of applicable taxes, which are your responsibility.
5. Term and Termination
Hosted services continue on a month-to-month basis until cancelled by either party with at least 30 days' written notice. We may suspend or terminate Services immediately for material breach of these Terms, non-payment, or unlawful use.
Upon termination, you are responsible for migrating off our platform. We will make reasonable efforts to provide your data in a standard format for a period of 14 days after termination, after which data may be permanently deleted.
6. Service Level and Warranties
We target 99.9% uptime for hosted VICIdial services. Specific service levels, remedies, and support response times are defined in the applicable service agreement. Beyond those, our Services are provided "as is" without warranties of any kind, express or implied, to the fullest extent permitted by law.
7. Limitation of Liability
To the maximum extent permitted by law, HostedVICIdial.com shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost revenue, or lost data. Our total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.
8. Indemnification
You agree to indemnify and hold harmless HostedVICIdial.com and its officers, employees, and contractors from any claims, damages, losses, or expenses arising out of your use of the Services, your content, or your violation of these Terms or applicable law — including any TCPA, DNC, or telemarketing-related claims.
9. Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information (and no less than reasonable care), and to use it only for purposes related to the Services.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute shall be resolved in the state or federal courts located in Delaware, and both parties consent to exclusive jurisdiction there.
11. Changes to These Terms
We may revise these Terms from time to time. The "Last updated" date indicates when changes were made. Continued use of the Services after changes constitutes your acceptance of the revised Terms.
